U.S. LLC for non-U.S. residents: requirements and formation

Form a U.S. LLC from abroad: understand ownership, state choice, EIN applications, banking preparation and Valls Solutions' Wyoming package.

You can own a U.S. LLC while living outside the United States. For freelancers, agencies and online business owners, it can provide an American company entity for contracts, business records and applications to financial platforms. This guide uses Wyoming as an example because it is where Valls Solutions publishes its package price. We also coordinate LLC formation in other U.S. states, with state-specific scope and pricing confirmed before work begins.

Can a non-U.S. resident own an LLC?

The IRS explains that most states do not restrict LLC ownership to U.S. citizens or residents. You can generally form a U.S. LLC without moving to the United States. The right formation state depends on where the business operates and the company's circumstances; state registration creates the company, while residence, activity and ownership shape the other requirements to review.

Our guide to LLC benefits explains what the structure can offer to a business. This article focuses on the practical steps for founders abroad.

Prepare the company and owner information

Start with your preferred company name, a short description of the business, the owners and their ownership percentages. Identify who will manage the company and who will be the responsible party for the EIN application. Your foreign residential address and the company's Wyoming mailing address have different purposes and should be recorded accurately.

You can start a conversation with Valls Solutions using only your country of residence and business activity. We confirm the service and explain the document process before requesting anything further.

Apply for the EIN after formation

An EIN identifies the business for federal tax and business purposes. An ITIN identifies an individual for certain tax purposes; they are different numbers. You do not need an ITIN simply to form the LLC.

The IRS provides application routes for international applicants, including Form SS-4. The method depends on the principal place of business and responsible-party information; the online route is not available to every founder. We handle the EIN application as part of the formation package. The IRS issues the number and determines processing time.

Read the EIN and ITIN guide for the distinction and application steps.

Set up Registered Agent and mailing services

Your Wyoming LLC needs a Registered Agent in the state to receive official correspondence. The package also includes a Wyoming mailing address for business correspondence. A mailing address serves a different function from the physical location where you work or manage the company.

Prepare the business account application

Once the company documents and EIN are ready, we help you organize the information for a business account application. Mercury, Wise and other providers apply their own requirements to your residence, activity, owners and addresses. You submit the application directly to your chosen provider, which makes the approval decision.

Know the formation and renewal price

The $699 Wyoming formation package includes the formation filing and state fee, EIN application handling, the first year of Registered Agent and mailing address, a company website, business email and banking application guidance. This published package and its $449 annual renewal from year two apply to Wyoming. We also form LLCs in other states and confirm each state's service scope and price before work begins.

For a Wyoming LLC, from year two $449 per year covers the Registered Agent, mailing address, Wyoming Annual Report filing and state tax, plus website hosting and maintenance. Individual tax returns, bookkeeping and legal advice are separate from the administrative package. Review full Wyoming pricing for the scope.

Plan your ongoing business records

Keep company contracts and financial records organized, separate business and personal finances, and review the tax and reporting requirements in the relevant countries. A qualified tax professional can help coordinate those requirements. Our LLC tax guide introduces the topics to discuss.
